1. ACCEPTANCE OF TERMS

By accessing or using Automatica ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. When we make material changes, we will notify you by posting the revised Terms on our website and updating the "Last Updated" date above. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

2. DESCRIPTION OF SERVICE

Automatica is an online platform that allows users to generate image and video content using artificial intelligence. The Service may include free and paid features, tools for creating and managing generated content, and related functionality as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. ELIGIBILITY AND ACCOUNTS

3.1 Age Requirements

You must be at least 13 years old to use the Service. If you are between 13 and 16 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian. By using the Service, your parent or guardian agrees to be bound by these Terms on your behalf.

3.2 Account Registration

To access certain features of the Service, you must create an account. When you do so, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised use of your account.

3.3 One Account Per Person

Each individual may maintain only one account. We reserve the right to remove duplicate accounts without notice.

4. CONTENT OWNERSHIP AND LICENCES

4.1 Your Input Content

You retain all rights to the content you upload, submit, or otherwise provide to the Service as input ("Input Content"). By submitting Input Content, you represent and warrant that you own or have the necessary rights, licences, and permissions to use it and to grant us the rights described in these Terms. You must not submit Input Content that infringes, misappropriates, or violates the rights of any third party.

You grant Automatica a non-exclusive, worldwide, royalty-free licence to use, process, store, and reproduce your Input Content solely for the purpose of operating and providing the Service to you.

4.2 Generated Content

Subject to your compliance with these Terms and any applicable subscription or plan terms, you own the content generated by the Service based on your inputs ("Generated Content").

You are solely responsible for how you use your Generated Content, including ensuring that your use does not infringe the rights of any third party. Automatica does not guarantee that Generated Content is unique or free from similarities to other works, and we make no representations regarding your right to use Generated Content for any particular purpose.

4.3 Licence to Automatica for Public Content

If you choose to make any Generated Content publicly available through the Service (for example, by publishing it to a public gallery, sharing it via a public link, or otherwise making it accessible to other users or the general public), you grant Automatica a non-exclusive, worldwide, royalty-free, sublicensable, and perpetual licence to use, reproduce, display, distribute, and create derivative works of that content for marketing, promotional, and business purposes. This includes but is not limited to featuring your content on our website, in advertisements, on social media, and in press materials.

Content that remains private or is shared only with specific individuals you designate is not subject to this marketing licence.

You may revoke this licence for future use by removing the content from public visibility on the Service or by contacting us directly. However, revocation does not apply to any uses already in progress or previously distributed prior to the date of revocation.

4.4 Automatica Intellectual Property

All rights, title, and interest in and to the Service, including its underlying technology, software, algorithms, models, design, branding, trademarks, and documentation, remain the exclusive property of Automatica. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

5. ACCEPTABLE USE POLICY

You agree not to use the service to:

  • (a) Generate, upload, or distribute content that depicts, promotes, or facilitates child sexual abuse material (CSAM) or the sexual exploitation of minors in any form.
  • (b) Create realistic images or videos of real, identifiable individuals without their explicit consent, including but not limited to deepfakes, non-consensual intimate imagery, or content intended to deceive others about a person's actions or statements.
  • (c) Generate content that constitutes or promotes harassment, bullying, threats, intimidation, or incitement to violence against any individual or group.
  • (d) Create content that promotes hatred or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic.
  • (e) Produce content intended to defraud, deceive, or mislead others, including but not limited to disinformation, scam materials, phishing content, or fraudulent impersonation.
  • (f) Generate content that infringes, misappropriates, or violates the intellectual property rights, privacy rights, or other rights of any third party.
  • (g) Create content depicting graphic violence, gore, or cruelty for the purpose of shock or entertainment.
  • (h) Generate nudity, pornography, sexually explicit content, or any content of a sexual nature, whether real or fictional, including but not limited to depictions of sexual acts, intimate body parts, or content intended to arouse.
  • (i) Generate content that promotes, glorifies, instructs, or facilitates harmful, dangerous, or illegal activities, including but not limited to self-harm, suicide, terrorism, the manufacture of weapons or controlled substances, or any activity that poses a risk to the health or safety of individuals or the public.
  • (j) Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
  • (k) Attempt to reverse engineer, decompile, disassemble, or otherwise extract the source code or underlying algorithms of the Service.
  • (l) Circumvent, disable, or interfere with any security, rate-limiting, or access control features of the Service.
  • (m) Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable use or that places an undue burden on our infrastructure, except through our official API where available and in accordance with its terms.
  • (n) Resell, sublicence, or redistribute access to the Service without our prior written consent.

This list is not exhaustive. We reserve the right to determine, at our sole discretion, what constitutes a violation of this Acceptable Use Policy.

6. CONTENT MODERATION AND ENFORCEMENT

We reserve the right, but are not obligated, to review, monitor, and moderate content generated through or uploaded to the Service. We may, at our sole discretion and without prior notice:

  • Refuse to generate content that we believe violates these Terms or our Acceptable Use Policy.
  • Remove, disable, or restrict access to any content.
  • Suspend or terminate your account in accordance with Section 12.

We are not responsible for any content generated by users of the Service. You acknowledge that AI-generated content may sometimes produce unexpected, inaccurate, or inappropriate results, and you agree to review all Generated Content before using or sharing it.

7. SUBSCRIPTIONS, BILLING, AND PAYMENTS

7.1 Free Tier

Automatica offers a free tier with limited features and usage allowances. The specific limitations of the free tier are described on our website and may change from time to time.

7.2 Paid Subscriptions

Paid subscription plans provide access to additional features, higher usage limits, and other benefits as described on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

7.3 Billing and Renewal

Paid subscriptions are billed on a recurring monthly basis, and will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorise us to charge your chosen payment method for all applicable fees.

7.4 Price Changes

We may change subscription prices from time to time. We will give you reasonable advance notice of any price increase before it takes effect. If you do not agree with the new price, you may cancel your subscription before the next billing cycle.

7.5 Refunds

Payments are generally non-refundable. However, if you believe you have been charged in error or have experienced a significant service disruption, you may contact us to request a refund, which we will consider at our reasonable discretion. Refund requests must be made within 14 days of the charge in question.

7.6 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. No partial refunds are provided for unused portions of a billing cycle.

8. DISCLAIMERS

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTOMATICA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • (a) The Service will be uninterrupted, error-free, or secure.
  • (b) Generated Content will be accurate, original, non-infringing, or suitable for any particular purpose.
  • (c) Any defects in the Service will be corrected.
  • (d) The Service will meet your specific requirements or expectations.

You acknowledge that AI-generated content is produced by automated systems, and results may vary. You use Generated Content entirely at your own risk.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AUTOMATICA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO AUTOMATICA IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (GBP 100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Automatica and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • (a) Your use of the Service.
  • (b) Your Input Content or your use of Generated Content.
  • (c) Your violation of these Terms or the Acceptable Use Policy.
  • (d) Your violation of any applicable law or the rights of any third party.

11. THIRD-PARTY SERVICES

The Service may integrate with or contain links to third-party websites, services, or tools. We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

12. TERMINATION

12.1 Termination by You

You may close your account at any time by using the account settings on our website or by contacting us. If you have an active paid subscription, please cancel it before closing your account.

12.2 Termination by Automatica

We may suspend or terminate your account or access to the Service at any time, with or without notice, if we reasonably believe that:

  • (a) You have violated these Terms or the Acceptable Use Policy.
  • (b) Your use of the Service poses a risk to the Service, other users, or third parties.
  • (c) Your account has been inactive for an extended period.
  • (d) We are required to do so by law.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data, Input Content, and Generated Content after termination, subject to any legal obligations to retain certain information. Sections of these Terms that by their nature should survive termination will continue to apply, including but not limited to Sections 4, 8, 9, 10, and 13.

13. DISPUTE RESOLUTION

13.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact us and attempt to resolve any dispute informally for a period of at least 30 days. Most concerns can be resolved quickly and satisfactorily through this process.

13.2 Arbitration

If we are unable to resolve a dispute informally, you and Automatica agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if the claim qualifies.

Arbitration shall be conducted by a single arbitrator in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall take place in London, England, unless otherwise agreed by both parties. The language of the arbitration shall be English.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

13.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdiction and monetary limits of that court.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. To the extent that arbitration does not apply, the courts of England and Wales shall have exclusive jurisdiction over any disputes arising under these Terms.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Automatica regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet failures, or governmental actions.
